Terms of Service

1. Introduction and Scope

These Terms of Service ("Terms") govern your use of the CKB (Code Knowledge Backend) software, website, and related services (collectively, the "Services") provided by:

By downloading, installing, accessing, or using CKB, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Definitions

  • "CKB" or "Software" means the Code Knowledge Backend software, including all updates, modifications, and documentation.
  • "Commercial Use" means any use by or on behalf of a for-profit entity, or any use intended to generate revenue directly or indirectly.
  • "Consumer" means a natural person acting for purposes outside their trade, business, craft, or profession (as defined in Directive 2011/83/EU).
  • "Open Source Components" means portions of the Software released under the MIT License.
  • "Subscription" means a paid commercial license for the Software.
  • "User" or "You" means the individual or entity using the Services.

3. License Grant and Open Source

3.1 Open Source License (MIT)

The core CKB software is released as open source under the MIT License. The MIT License grants you permission, free of charge, to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software, subject to the following conditions:

3.2 Personal Use (Free)

You may use CKB free of charge for personal, non-commercial purposes, including:

  • Personal projects and self-education
  • Contributing to open source projects (where you are not compensated)
  • Academic research and educational purposes
  • Evaluation and testing prior to commercial deployment

3.3 Commercial Use (Paid License Required)

A paid commercial license is required for any Commercial Use. This includes, but is not limited to:

  • Use by any for-profit organisation, regardless of size
  • Use by employees, contractors, or agents on behalf of a commercial entity
  • Integration into products or services offered for sale or fee
  • Use in activities intended to generate revenue, directly or indirectly
  • Use by government agencies and non-profit organisations with paid staff using CKB in their work

4. Commercial License Tiers

4.1 Team License

The Team license is designed for commercial teams up to 50 developers:

  • Price: €9 per user per month (billed monthly or annually)
  • Includes: All features, commercial use rights, priority support, team onboarding, invoice billing

4.2 Enterprise License

The Enterprise license is designed for large organisations:

  • Price: €29 per user per month (billed monthly or annually)
  • Includes: All Team features plus unlimited developers, SSO/SAML integration, dedicated support, SLA guarantee, custom integrations

All prices are exclusive of applicable VAT/taxes unless otherwise stated. Prices may be adjusted with 30 days' written notice; existing subscriptions retain their pricing until renewal.

5. Subscription and Payment Terms

5.1 Subscription Period

Commercial licenses are sold as subscriptions on a monthly or annual basis. Subscriptions automatically renew at the end of each billing period unless cancelled.

5.2 Payment

Payment is processed by Stripe, Inc. By subscribing, you authorise us (through Stripe) to charge your designated payment method for the subscription fees. You are responsible for keeping your payment information current.

5.3 Taxes

Prices do not include taxes. You are responsible for all applicable taxes, including VAT where applicable. We will collect and remit taxes where legally required based on your billing address.

5.4 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting us. Upon cancellation:

  • Your commercial license remains valid until the end of the current billing period
  • No further charges will be made after cancellation
  • You may continue using the free personal tier after your commercial license expires

5.5 Refunds

We offer a 14-day money-back guarantee on all new subscriptions. If you are not satisfied with your purchase, you may request a full refund within 14 days of your initial subscription date by contacting support@tastehub.io.

Refunds for renewal payments are not available, as you may cancel at any time before the renewal date.

6. Consumer Rights (EU/EEA)

If you are a Consumer within the European Union or European Economic Area, the following additional rights apply under the Consumer Rights Directive (2011/83/EU):

6.1 Right of Withdrawal

You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days from the day of the conclusion of the contract.

To exercise the right of withdrawal, you must inform us of your decision to withdraw by an unequivocal statement (e.g., email to support@tastehub.io). You may use the following model withdrawal form, but it is not obligatory:

6.2 Exception for Digital Content

You acknowledge and agree that by downloading or accessing the Software immediately after purchase, you expressly consent to the immediate performance of the contract and acknowledge that you lose your right of withdrawal once the download or access begins.

Before completing your purchase, you will be asked to expressly consent to immediate delivery and to acknowledge the loss of your right of withdrawal.

6.3 Consumer Guarantees

Nothing in these Terms affects your statutory rights as a Consumer under applicable EU or national law, including the legal guarantee of conformity under Directive (EU) 2019/770 (Digital Content Directive).

7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Circumvent or attempt to circumvent license restrictions or usage limits
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices
  • Sublicense, rent, lease, or transfer your license to third parties without authorisation
  • Use the Services to develop a competing product or service
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorised access to our systems or networks
  • Use the Services to transmit malware or other malicious code

Note: The MIT License permits modification and redistribution of the open source code. This Section 7 applies to the use of our commercial services and support, not to your rights under the MIT License.

8. Intellectual Property

8.1 Ownership

The Software is open source under the MIT License. Subject to the terms of that license, we retain all intellectual property rights in the CKB name, trademarks, logos, and branding, as well as any proprietary components, documentation, and materials not covered by the MIT License.

8.2 Your Code

CKB processes your code locally on your machine. We do not claim any ownership or rights over your code, codebase, or any intellectual property analysed by the Software. Your code remains entirely yours.

8.3 Contributions

If you contribute to the CKB open source project (via pull requests or otherwise), you agree that your contributions are licensed under the same MIT License and that you have the right to make such contributions.

9. Disclaimer of Warranties

9.1 Open Source Software

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

9.2 Commercial Services

For paid commercial subscriptions, we warrant that:

  • The Services will be provided with reasonable skill and care
  • The Services will substantially conform to their published description
  • We will use commercially reasonable efforts to maintain service availability

We do not warrant that the Services will be uninterrupted, error-free, or free from vulnerabilities. We do not warrant that the Software will meet your specific requirements or produce any particular results.

9.3 Consumer Rights Preserved

If you are a Consumer, the disclaimers in this Section 9 do not affect your statutory rights under applicable consumer protection laws, including the legal guarantee of conformity.

10. Limitation of Liability

10.1 Exclusions

To the maximum extent permitted by applicable law (including Austrian law under Section 6 of the Consumer Protection Act and the ABGB), we shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of procurement of substitute goods or services
  • Damages arising from your use of third-party services or integrations

10.2 Cap on Liability

For commercial subscriptions, our total cumulative liability to you for all claims arising from or related to these Terms or the Services shall not exceed the greater of:

  • The amounts paid by you in the twelve (12) months preceding the claim, or
  • One hundred euros (€100)

10.3 Exceptions (Austrian Law)

In accordance with Austrian law, nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Intentional misconduct (Vorsatz)
  • Gross negligence (grobe Fahrlässigkeit)
  • Any other liability that cannot be excluded or limited under applicable law

10.4 Consumer Rights

If you are a Consumer, the limitations in this Section 10 apply only to the extent permitted by applicable consumer protection law. Your statutory rights remain unaffected.

11. Indemnification

If you are using the Services for Commercial Use, you agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Services in violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Your code or content processed by the Software

This Section 11 does not apply to Consumers.

12. Term and Termination

12.1 Term

These Terms are effective until terminated. Your subscription continues for the applicable subscription period and renews automatically unless cancelled.

12.2 Termination by You

You may terminate these Terms at any time by ceasing to use the Services and, if applicable, cancelling your subscription.

12.3 Termination by Us

We may terminate or suspend your access to the Services immediately, without prior notice or liability, if:

  • You breach these Terms
  • You fail to pay subscription fees when due
  • We are required to do so by law
  • We discontinue the Services (with reasonable notice)

12.4 Effect of Termination

Upon termination:

  • Your commercial license (if any) is revoked
  • You may continue to use the Software under the MIT License for personal, non-commercial purposes
  • Sections 8-11, 13-15 survive termination

13. Governing Law and Jurisdiction

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Austria, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

13.2 Jurisdiction (Business Users)

If you are not a Consumer, you agree that any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Vienna, Austria.

13.3 Jurisdiction (Consumers)

If you are a Consumer resident in the EU/EEA, you may bring proceedings in the courts of Austria or in the courts of your country of residence. We may only bring proceedings against you in the courts of your country of residence.

13.4 Online Dispute Resolution

The European Commission provides an Online Dispute Resolution (ODR) platform for consumers at ec.europa.eu/consumers/odr. We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any order forms or subscription agreements, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings.

14.2 Amendments

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be notified via email or through the Services at least 30 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

14.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

14.6 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or infrastructure failures.

14.7 Language

These Terms are provided in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
